Terms of Service
Last updated: 2026-10-23
Draft for review. Not yet approved for publication.
These Terms of Service ("Terms") govern access to and use of our websites, applications, software, APIs, and related tools (collectively, the "Services").
1. Acceptance of Terms
These Terms are an agreement between you and CSEQ Labs, Inc. ("Aixcut," "we," "us," or "our"), which operates the Services and is registered at 2810 N Church St, STE 89637, Wilmington, DE 19802, United States. By accessing or using the Services, you agree to these Terms and the Privacy Policy.
These Terms apply to your use of the Services, including account access, content creation and processing, and purchases. Availability is subject to applicable law and feature availability.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Services.
2. Eligibility and Accounts
You must be at least 13 years old, or meet any higher minimum age required where you live. If you have not reached the age of majority, a parent or legal guardian must review and agree to these Terms and permit your use. Any parental authorization required by local law must also be obtained.
You must provide accurate account information, protect your credentials, and notify us promptly of suspected unauthorized access. We may suspend accounts that create security, legal, or operational risk.
3. The Aixcut Services
Aixcut provides AI-assisted video creation, editing, generation, transcription, voice, project-management, export, and related workflows. Features may change as the Services evolve.
Some features are offered as beta, preview, or experimental functionality. Beta features may be incomplete, change without notice, or be discontinued. These Terms govern beta use unless additional terms apply.
4. License to Use the Services
Subject to these Terms, we grant you a limited, non-exclusive right to access and use the Services through the interfaces and integrations we make available. You must stay within your account permissions and comply with applicable usage limits and security controls.
You are responsible for activity under your account and for reviewing content and generated output before publishing or otherwise relying on it. This license does not transfer ownership of the Services or authorize access to other users' accounts or content.
5. User Content and Rights
You retain ownership of the media, prompts, and other content you submit ("User Content"), subject to any rights held by third parties. You grant CSEQ Labs, Inc. a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, copy, transmit, and process User Content as needed to provide the Services to you.
Subject to applicable law and your right to opt out as described in the Privacy Policy, this license also permits us to use User Content to train, improve, and develop our proprietary AI models and algorithms. It does not transfer ownership of User Content or grant permission to sell or publicly publish your private content for unrelated purposes.
You represent that you have the rights and permissions needed for all media, voices, likenesses, trademarks, documents, and other content you submit. You may not upload content you are not authorized to use.
6. Generated Output and License
As between you and Aixcut, and to the extent permitted by law, you retain rights in your inputs and own the generated output. We assign to you any rights we may hold in that output, subject to third-party rights and any applicable licenses.
You may use, export, and publish output for lawful personal or commercial purposes. Aixcut does not impose an additional attribution requirement, but you must follow any requirements of model providers, licensed media, templates, music, or other third-party materials used in the output. Applicable feature-specific restrictions must be disclosed before use.
AI output may be inaccurate, incomplete, or similar to output generated for others. You are responsible for reviewing output, verifying facts and rights, and determining whether it is suitable for your intended use.
7. Acceptable Use
You may not use the Services to violate law, infringe rights, create deceptive or harmful material, impersonate another person without authorization, distribute malware, bypass access controls, or interfere with the Services or other users.
- Do not use voice, likeness, biometric, or synthetic-media features without valid consent and any disclosures required by law.
- Do not upload illegal content, non-consensual intimate material, exploitative content, or content that promotes violence or criminal activity.
- Do not attempt to extract model weights, credentials, private data, system prompts, security controls, or other users’ content.
- Do not use automated access except through supported integrations and within documented limits.
8. Third-Party Services
Some features rely on third-party hosting, payment, model, storage, transcription, voice, or integration providers. Third-party rights and applicable usage restrictions may affect your use of particular features or outputs. Independent third-party services are governed by their own terms and privacy policies; this does not remove any obligations Aixcut has under applicable law.
9. Plans, Credits, Billing, and Refunds
Available plans, prices, currency, credits, billing periods, applicable taxes, and renewal behavior are shown before purchase. Payments are processed through Stripe using the methods available at checkout. You must provide accurate payment and billing information.
If you select a recurring subscription, you authorize charges at the billing interval shown at checkout until you cancel. One-time purchases do not renew automatically. Request cancellation through available account controls or by contacting support before the next renewal. Cancellation ordinarily takes effect at the end of the current paid term, during which your paid benefits remain available.
Membership credits and standalone credit packs are distinct products. Credit amounts, eligible uses, and expiration depend on the product or promotion and are disclosed at purchase or in your account. Credits are not money and cannot be redeemed for cash, except where required by law.
Contact [email protected] with your order details to request a refund or report an incorrect or duplicate charge. Requests are reviewed with reference to the order, service and credit usage, purchase terms, and applicable law. Submitting a request does not automatically approve a refund. Cancellation alone does not automatically refund an already-paid period, and nothing in these Terms limits mandatory consumer refund rights.
When a purchase is refunded, the unused credits associated with that purchase are removed from your account as part of the refund process. This does not remove credits from unrelated purchases. Treatment of credits already used is assessed during the refund review under the purchase terms and applicable law.
If a generation fails or its credit charge appears incorrect, review the task status and your credit transaction history, and contact support with the task and transaction details. Charges and any correction are assessed against the actual task outcome and the applicable purchase rules; a displayed estimate is not, by itself, confirmation of a completed charge.
Approved refunds are returned through the payment provider; arrival time depends on that provider and your financial institution. Any required adjustment of an issued invoice or tax record must be completed. Price changes will be communicated as required by law and do not change the price of a term already paid for.
10. Intellectual Property
Aixcut and its licensors retain all rights in the Services, software, designs, documentation, trademarks, and other materials other than your content. These Terms do not transfer ownership of Aixcut intellectual property.
If you provide feedback, you permit Aixcut to use it without restriction or compensation, provided we do not identify you publicly without permission.
11. Suspension and Termination
We may suspend, restrict, or terminate access if you violate these Terms, create risk, fail to pay applicable fees, or if required by law. You may stop using the Services at any time and may request account deletion as described in the Privacy Policy.
Provisions that by their nature should survive termination, including ownership, liability, indemnity, and dispute provisions, will continue to apply.
12. Disclaimers
The Services are provided on an "as available" and "as is" basis to the maximum extent permitted by law. Aixcut does not warrant uninterrupted availability, error-free operation, or that AI output will be accurate, unique, or suitable for a particular purpose.
13. Limitation of Liability
To the maximum extent permitted by law, Aixcut and its affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.
To the maximum extent permitted by law, the aggregate liability of Aixcut for claims relating to the Services will be limited to the amount you paid to Aixcut for the Services during the six (6) months before the event giving rise to the claim. This limitation does not apply to liability that cannot lawfully be excluded or limited, including fraud or other liabilities protected by mandatory law. Some jurisdictions do not permit certain limitations, so some provisions may not apply to you.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aixcut and its affiliates, officers, employees, and service providers from claims, damages, liabilities, and expenses arising from your content, your use of the Services, or your violation of these Terms or third-party rights.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Subject to any mandatory consumer protections, legal proceedings will be brought exclusively in the state or federal courts located in Delaware. Nothing in these Terms removes any mandatory rights to bring a claim or rely on consumer protections in your place of residence.
16. Changes to These Terms
We may update these Terms to reflect changes in the Services, law, or business practices. We will update the date above and provide additional notice when required. Continued use after the effective date constitutes acceptance of the updated Terms.
